Terms of service
Effective 22 October 2026 · DeltaBreen Limited (the operator of Share by DeltaBreen), a company registered in Ireland with company number 826627 and VAT number IE4835019QH, of Gorey, Co. Wexford, Ireland · contact@deltabreen.eu · Terms · Refunds · Privacy · Data processing agreement
1. The service
Share by DeltaBreen ("the service") lets you send files and short secrets to people, and ask people to send you files or answers, with encryption performed in your browser. The service stores and transmits encrypted data. The keys that decrypt it stay in the links you create, or are locked to your workspace's key, and we never hold them in a form we can use; the few cases where a key or a file passes through our servers, each of them something you choose, are listed on the security page. These terms are a contract between you and DeltaBreen Limited (the operator of Share by DeltaBreen), a company registered in Ireland with company number 826627 and VAT number IE4835019QH, of Gorey, Co. Wexford, Ireland ("we", "us"). By creating an account or using a link you accept them; the app asks you to confirm that when you first sign in, and again if they change in a way you need to agree to.
Signature requests let you ask people to sign a PDF electronically. They make simple electronic signatures: each signer confirms their email address with a code, agrees to use electronic records and to sign electronically, and signs, and the service records each step and makes a completion certificate. A signer can decline instead of signing, and can download the signed document and its certificate while the request keeps them. Simple electronic signatures are valid for most agreements under the EU eIDAS Regulation and, in the United States, the ESIGN Act and UETA, but some documents need another form: for example wills, some property transfers, and documents that the law requires to be witnessed, notarised or signed with a qualified electronic signature. You are responsible for choosing a form of signature suitable for your document, and for sending signature requests only to people who expect them. A delivery certificate or completion certificate records what the service observed; it is evidence of those events, not a guarantee of who was at a keyboard.
ID checks let you ask a person you name to confirm who they are: they photograph an identity document and take a selfie, and Didit, an identity provider, checks the document, whether the selfie shows a person who was there and whether the faces match, and, if you ask, screens their name against sanctions and politically exposed persons lists and reads a proof of address. An ID check is evidence for your own decision about who you deal with. It does not by itself make you compliant with anti-money-laundering or any other law, and an identity provider can be wrong; you decide whether a result is enough and what to do about a possible match. You are the controller of the data of the people you check.
2. What we can and cannot do
Because of how the service is built, we cannot read your files, filenames, secrets or form answers, and we cannot recover them for you. If you lose a link or its password, or every encryption password in your workspace together with its encryption recovery code, the data is unrecoverable and we have no way to restore it. You are responsible for keeping links, passwords, encryption passwords, recovery codes and access codes safe and for sending them to the right people. The service is not a backup: keep your own copy of anything you cannot afford to lose.
Where a feature is explicitly marked as readable by the service (request pages whose answers you let the API or your assistant read), the service encrypts the content in memory with a key it holds. ID checks are the other exception: the identity provider's result reaches our server readable, once, and is locked to your workspace's key as soon as it arrives, so we keep no readable copy. Those features say so at the point of use; everything else is end-to-end encrypted.
3. Accounts
Accounts are opened with an email address you control. You must be 18 or over and able to enter a contract; if you use the service for a company or other organisation, you confirm that you may accept these terms for it. You are responsible for everything done through your account, your API keys and any assistant you connect. Team workspaces are administered by their owner; members act under the owner's plan and the owner can see all shares in the workspace. Keep your contact address current so we can reach you about your account.
4. Plans, limits, payment and refunds
Each plan includes the limits listed on the pricing page and shown in the app: how much a workspace can store, the size of one file, how long a link can last, how many links, downloads, emails, file requests, signature requests and API calls it can make in a day or a month, and how many people can work in it. Limits belong to the workspace and are shared by everyone in it. When a limit is reached the service refuses more until the limit resets, something expires or is deleted, or you change plan; a person opening a link may be told that it has reached its sender's limit for the day. We never charge for use beyond a plan. The one thing bought apart from a plan is extra ID checks, which a workspace's owner may choose to buy in packs as a single payment; they never expire, and the refund policy says how they are used and refunded. We may change limits and features with notice; a change that reduces a paid plan applies from your next billing period.
The Free plan is provided as it is, without charge and without any commitment that it will stay available or unchanged. Files on the Free plan are stored on servers we run, with a fixed amount of room shared by everyone on that plan; when that room is full, a Free upload is refused until some returns. Paid plans have their own storage and are not affected.
A free trial opens a paid plan's features to an account that has never had a plan. During a trial, storage, the size of one file, and the emails and downloads in a day stay at the Pro plan's limits, and what you make during a trial that ends without a payment goes with it, as the refund policy sets out. A person or organisation may take one trial; we may refuse or end a trial that is used to avoid paying.
Fair use. The service is for sending files and secrets to people you choose, receiving files and answers from people you ask, and getting documents signed. It is not a content delivery network, a public download site, a place to host the files, images or media of a website or an app, or a backup or archive: links are for the people you send them to, and every share expires. A plan is for one person or one organisation and the people in its workspace. You may not share one account between people to avoid seats, open several accounts or trials to add their limits together, or resell the service or provide it to others as your own, except as your plan allows (your own branding and web address are part of the plans that list them). We reserve the right to limit, slow, pause or refuse access, on any plan and without notice where needed, if use threatens the stability or security of the service or of other customers, or runs up costs far beyond what the plan is priced for; what is fair use is at our reasonable discretion. Ordinary use within a plan's limits is never charged extra. Deliberate abuse or intentional misuse, such as working around limits, using one upload or download address over and over, or automated use outside the documented API, is not ordinary use: we may stop it at once and recover from you the costs it caused us.
Pro, Studio and Business plans are billed monthly or yearly in advance through Paddle, our merchant of record, which handles payment, VAT and invoicing under its own terms. Prices shown include VAT where Paddle collects it, and are exclusive of any other taxes, duties or levies that apply to you, which are your responsibility. You authorise recurring charges until you cancel. You can change or cancel in the billing portal; a cancelled plan runs to the end of its paid period and does not renew. Fees already paid are non-refundable except where the law requires otherwise or Paddle's policy allows it; we do not give pro-rata refunds for a mid-period cancellation or downgrade, except that deleting your account cancels your plan immediately and refunds the unused part of the current period. The refund policy sets this out in full. Enterprise plans are agreed in writing and invoiced annually. If a payment fails we keep your plan while the payment is retried, then move the account to Free; your data is not deleted by a downgrade, but features beyond the new plan stop working after the grace periods described in the service. If a payment is refunded or reversed, or you raise a chargeback instead of asking for a refund, the plan it paid for ends as the refund policy describes and we may suspend the account until the amount is settled. We may change plan prices on at least 30 days' notice, effective from your next renewal.
5. Acceptable use
You may not use the service to store, send or request material that is unlawful where you or the other person are, that infringes someone else's rights, that is malware or is intended to deceive, or that you do not have the right to share; to harass, threaten or defraud anyone; to send unsolicited or bulk messages; to run an ID check on anyone without telling them why, or for a purpose that is not lawful; to probe, overload, disrupt or reverse-engineer the service, circumvent its limits, access codes or recipient restrictions, or resell or provide it to others except as your plan allows; or in a way that breaches export controls or sanctions, or from a territory or by a person subject to them. Child sexual abuse material is forbidden absolutely; we report it and cooperate with the relevant authorities to the extent the law requires and our encryption allows. You are responsible for having a lawful basis for any personal data you process through the service. Automated use goes through the documented API within its rate limits.
Because we cannot see content, we rely on reports and on signals such as abuse of limits. We may investigate suspected breaches and, where we reasonably need to, suspend or close accounts, revoke or delete shares, block senders and remove access — immediately and without notice where there is a risk to the service, to others or of unlawful activity, otherwise with reasonable notice. We will comply with lawful orders, disclosing only what we hold, which for content is ciphertext we cannot decrypt.
Anyone can report content they believe is illegal: with the Report abuse link on every share, secret, request and upload page, at share.deltabreen.eu/report, or by email to contact@deltabreen.eu. A report names the link, never its key. A person reviews every report and nothing is removed automatically. When we remove content or suspend an account because of a report, we tell the account holder what we did, why, and how to ask for a review, and we tell the reporter what we decided if they gave us an address. So that recipients can tell a real link from an imitation, the page a link opens shows the email address of the account that sent it.
6. Your data and ours
You own your content. You confirm that you have the right to send, request and store it and that it is lawful, and you give us the limited licence needed to store, transmit and delete it as the service describes. We do not, and cannot, review content before it is sent. We own the service, its software and its marks. Metadata we hold and how we handle it is described in the privacy policy; where you are a business using the service to process other people's personal data, the data processing agreement applies.
7. Expiry and deletion
Every share has an expiry you choose within your plan's limits; a one-time share is deleted when its download finishes. Deleted, expired and revoked files are removed from storage by our processes, backed by storage lifecycle rules. Records that a file existed (timestamps, sizes, receipts) are kept as described in the privacy policy. You can delete your account at any time from Settings, which cancels any plan you pay for (refunding the unused part of the current period), revokes your shares and removes your data within the retention periods stated there.
8. Availability and changes
We run the service with care and aim for it to be available continuously, but without a guaranteed uptime unless an Enterprise agreement says otherwise; the status page shows how it is running. We may perform maintenance, and change, suspend or withdraw features, on reasonable notice where practical: to improve the service, to keep it secure, to follow the law, or because a feature is little used or can no longer be run at a reasonable cost. We may change these terms with 30 days' notice by email or in the app; continuing to use the service after that is acceptance, the app asks you to agree where a change needs it, and if you do not accept a change, or a change to the service leaves you materially worse off, you may close your account before it takes effect and the unused part of what you paid is refunded.
9. Warranties and liability
The service is provided "as is" and "as available". To the fullest extent the law allows, we exclude all warranties, express or implied, including of merchantability, fitness for a particular purpose, accuracy, non-infringement, uninterrupted, error-free or secure operation, and any warranty that stored data will be preserved or recoverable. We do not warrant that an email the service sends will arrive, that a person opening a link or signing a document is who its sender believes them to be, or that a signature or certificate will be accepted for a particular purpose. Notes the service shows about a file, such as that it may be a program, are worked out in your browser from the file's name as a guide; we cannot scan files and do not warrant that any file you receive is safe. Estimates, counters, receipts shown in the service are provided in good faith but are not guarantees. This does not exclude any warranty or right that the law does not allow us to exclude, including the statutory rights of consumers.
To the extent the law allows, our total aggregate liability to you for all claims arising out of or relating to the service in any 12-month period is limited to the greater of the amount you paid us in that period or €100. We are not liable for indirect, incidental, special or consequential loss, for loss of profit, revenue, goodwill or business, or for loss of or inability to recover data that the design of the service makes us unable to recover; for anything arising from your content, from a file you receive, or from the acts of the people you send to, receive from or ask to sign; for loss caused by your sharing, mishandling or loss of links, passwords, encryption passwords, recovery codes or access codes; or for a third-party service you connect or an event outside our reasonable control. These limits apply however the liability arises, including in contract, tort (including negligence) or otherwise, even if we were advised of the possibility and even if a remedy fails its essential purpose. Nothing in these terms limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything that cannot lawfully be limited under Irish law, and nothing affects the statutory rights of a consumer.
10. Indemnity
You will defend, indemnify and hold harmless DeltaBreen Limited and its people from any claim, loss, liability, cost or expense (including reasonable legal fees) arising from your content, from what you send, request or ask people to sign, from your links, API keys and connected assistants, from the claims of the people you send to or receive from, or from your breach of these terms or of any law or third-party right. We will tell you promptly of a claim, let you control its defence for matters that are your responsibility, and cooperate reasonably; you may not settle anything that imposes an obligation on us without our consent. This does not apply to the extent a loss is caused by our own breach or by matters the law does not allow to be shifted, and consumers are only liable to the extent the law provides.
11. Suspension and termination
You can close your account at any time from Settings, once any workspace that other people work in has been handed over or emptied. We may suspend access at once, as described in section 5, where there is a risk to the service, to others or of unlawful activity, or where a payment for a paid plan is not resolved. We may close an account that materially breaches these terms, that has not been used for 24 months on the Free plan (after an email to its address at least 30 days before), or where we are required to by law; and we may close any account with 30 days' notice for any other reason, refunding any unused paid period. If we ever close the service as a whole, we will tell you by email at least six months before, and refund any part of a paid period that runs past the closing date. On closure your right to use the service ends and your shares are revoked; sections that by their nature should survive — including your data and ours, warranties and liability, indemnity, and law and disputes — continue. Where reasonable we will let you export what you can first.
12. Force majeure
We are not in breach of these terms or liable for any delay or failure caused by events beyond our reasonable control, including failures of infrastructure, connectivity or third-party providers, cyber-attack, power or network outage, act of government, or natural event.
13. Third-party services and assistants
The service works with third parties — Paddle for billing, Didit for ID checks, our sub-processors listed in the data processing agreement, and anything you choose to connect: an AI assistant, the command-line tool or another API client, Slack, a mail server, storage or company login provider of your own, or the plugin that shows a file request on your website. Those third parties act under their own terms and privacy policies, which are your responsibility to accept; we are not responsible for them, for what reaches them because you connected them, or for what an assistant you connect does with your account within the access you granted it. You are responsible for anything done through your API keys and connected assistants as if done by you. Feedback you send us about the service may be used by us without restriction or obligation to you.
14. General
We may assign or transfer these terms, for example on a reorganisation or sale of the business, on notice to you; you may not assign yours without our consent. If any provision is found unenforceable, the rest stays in force and the provision is applied as far as it lawfully can be. A delay in enforcing a term is not a waiver of it. These terms, with the pricing page and the documents they link to, are the entire agreement between us about the service and replace earlier drafts and discussions; an Enterprise order signed by both parties prevails over them where it conflicts. They create no rights for anyone who is not a party to them. We give notices by email to your account address or in the app; you contact us at the address below.
15. Law and disputes
These terms are governed by the law of Ireland and the Irish courts have exclusive jurisdiction, except that if you are a consumer you keep the protection of the mandatory rules of the country where you live, and may bring a claim in its courts.
16. Points of contact
Under the EU Digital Services Act, our single point of contact for the authorities of the Member States, the European Commission and the European Board for Digital Services, and for anyone who uses the service, is contact@deltabreen.eu, in English. Reports of illegal content can also be made at share.deltabreen.eu/report. We are established in Ireland, where the Digital Services Coordinator is Coimisiún na Meán.
